PocketCook Creator Revenue Share Agreement

This Creator Revenue Share Agreement (the Agreement) is between PocketCook LLC, an Illinois limited liability company (PocketCook), and the individual or legal entity enrolling in PocketCook’s creator referral program (Creator). It takes effect when Creator affirmatively accepts it in the PocketCook Creator Studio (the Effective Date), or, if signed separately, on the date of the last signature. The Creator Studio enrollment record identifies Creator, the associated creator account, and the referral code.

1. Participation is voluntary

1.1. Creator may participate in PocketCook’s referral program at no charge. Creator is not required to publish, post, make, or update any content; promote PocketCook; share a code; meet a quota; or remain active on any social platform. No minimum number of referrals or deliverables is required. Creator may work with other services.

1.2. PocketCook may provide Creator with a personal referral code, an associated link, and access to program reporting. Using them is optional. Compensation is earned only for qualifying purchases described below, not for joining the program, views, clicks, follows, recipe saves, or unpaid trials.

2. Qualifying subscriptions and attribution

2.1. A Qualifying Subscription is a new PocketCook Plus auto-renewing subscription purchased through Apple’s App Store on iPhone or iPad that: (a) begins with Creator’s assigned, valid code; (b) is verified by PocketCook against Apple’s purchase records; (c) belongs to a customer who has not previously held a paid or expired PocketCook Plus subscription within the applicable Apple subscription group; and (d) produces Net Proceeds, as defined in Section 3. The customer may receive a free promotional month first; the free period earns no commission.

2.2. Attribution belongs to one Creator only, based on the valid creator code associated with the initial subscription acquisition and confirmed in PocketCook’s purchase records. Merely following Creator, watching Creator’s video, saving Creator’s recipe, opening a link, or using Creator’s content does not create a commission. A later code or link does not transfer an existing subscription to another Creator.

2.3. The referral is eligible only for uninterrupted continuation of that Qualifying Subscription. Monthly or annual renewals and a change between eligible Plus subscription plans count as continuation only if Apple’s verified history confirms that the subscription service did not expire or lapse. Turning off auto-renewal is not, by itself, a lapse while the customer’s already-paid subscription period remains active. If auto-renewal is reenabled before that period expires, continuity is preserved.

2.4. Once the customer’s subscription actually expires or lapses, the referral ends permanently. A later restart, resubscription, win-back, new billing transaction, or reuse of a code does not revive the old referral or create additional commissions for that returning customer. If an Apple billing retry or grace-period issue is resolved and Apple’s final verified record shows there was no interruption in the subscription entitlement, continuity is preserved; no commission accrues on any period for which PocketCook receives no Net Proceeds.

2.5. Non-qualifying purchases include PocketCook Plus lifetime or other one-time purchases, purchases outside Apple’s iPhone/iPad subscription channel (including Google Play and website purchases), existing or returning subscribers, unverified or fraudulent purchases, and free periods. Adding any other purchase channel requires a written or electronically accepted amendment.

3. Commission and calculation

3.1. While this Agreement is active, PocketCook will pay Creator 30% of Net Proceeds from the initial paid charge and each subsequent paid renewal of a Qualifying Subscription, for as long as that subscription remains uninterrupted and this Agreement remains active.

3.2. Net Proceeds means the amount Apple actually reports as payable to PocketCook for the particular qualifying subscription charge, after Apple’s commissions and fees, applicable transaction taxes or withholding deducted by Apple, discounts, refunds, reversals, and chargebacks. PocketCook will not deduct its ordinary operating, marketing, hosting, or staffing expenses from Net Proceeds. If Apple pays PocketCook nothing for a charge, the commission is zero. For foreign-currency purchases, calculations use the amounts and currency conversion reflected in Apple’s final financial reporting.

3.3. Commissions follow paid billing events, not calendar months of access. A monthly charge may produce a monthly commission; an annual charge produces a commission on its annual payment, with no additional monthly payments in between. Later eligible annual renewals earn commissions when paid. No commission is ever owed on a lifetime purchase.

3.4. Refunds, partial refunds, chargebacks, or corrections reduce the corresponding commission. Amounts already paid in error may be offset against future amounts owed, including a final payout, or reasonably recovered after written explanation. PocketCook will supply a good-faith accounting of such adjustments.

4. Reporting and payment

4.1. PocketCook will calculate earnings monthly using verified Apple transactions and finalized financial reports. Creator will have access to a monthly statement or Creator Studio report summarizing qualifying paid charges, renewals, reversals, earned commissions, payments, and unpaid carryover. Reports will not disclose subscriber identities.

4.2. PocketCook pays Creator through PayPal in U.S. dollars. When Creator’s finalized, unpaid commission balance reaches $25, PocketCook will issue the payment in the next monthly payout cycle, generally within 30 days after the end of the month in which the applicable Apple proceeds are finalized. Balances under $25 carry forward without expiration while this Agreement is active. Payment depends on Creator providing a valid PayPal payment address and the information required under Section 5.

4.3. On cancellation or termination of this Agreement, PocketCook will pay any remaining, properly earned balance even if it is below $25, within 60 days after final Apple reconciliation and receipt of any required tax and payment information, subject to refund adjustments. Neither inactivity nor failure to publish content causes forfeiture of earned commissions.

4.4. Creator may raise a question about a statement or calculation by emailing hello@pocketcook.app. The parties will review supported discrepancies in good faith and correct confirmed errors in a subsequent payment cycle.

5. Taxes and payment information

5.1. Creator is responsible for Creator’s taxes, filings, and any PayPal recipient or currency-conversion charges. Before the first payout, PocketCook may request a completed IRS Form W-9 from a U.S. Creator or the appropriate IRS Form W-8 (such as W-8BEN for a non-U.S. individual or W-8BEN-E for a non-U.S. entity), plus the Creator’s legal payee name and PayPal email. PocketCook may withhold payment where required information or legally required withholding is outstanding, without canceling otherwise earned commissions.

5.2. PocketCook may report or withhold payments when required by applicable law. Creator must keep payout information accurate and promptly update it.

6. Optional promotion and disclosures

6.1. No promotion or publication is required. If Creator voluntarily shares a code, link, endorsement, recommendation, or other promotional message about PocketCook, Creator must clearly disclose the financial relationship in that communication as required by applicable advertising law and platform rules. A clear statement such as “I may earn a commission if you subscribe to PocketCook with my code” or a conspicuous #ad may be appropriate depending on the format. For videos, a visible and/or spoken disclosure in the video may be necessary; a platform’s paid-promotion label alone should not be relied on.

6.2. Any statements Creator chooses to make must be truthful and based on Creator’s genuine experience. Creator must not make unsubstantiated claims, impersonate PocketCook, send spam, create artificial referrals, use misleading promotions, or purchase through their own code to generate commissions. PocketCook may refuse commissions resulting from fraud or abuse and may suspend a code while it investigates credible misconduct.

7. Ownership and independence

7.1. Creator keeps ownership of Creator’s original content, name, likeness, trademarks, and other intellectual property. This Agreement does not require Creator to license, produce, or deliver content and grants PocketCook no new right to reuse Creator’s work in advertising. Ordinary linking, attribution, and handling of content within PocketCook are governed by applicable law and the platform’s separate terms, not by a transfer of ownership under this Agreement.

7.2. Creator participates as an independent party, not as PocketCook’s employee, agent, franchisee, or business partner. Creator has no authority to make promises or contracts on PocketCook’s behalf. This arrangement is nonexclusive.

8. Duration, cancellation, and end of earnings

8.1. This Agreement has no fixed end date and remains in force until Creator cancels it, except for a termination for cause under Section 8.4. Creator has no renewal, content, posting, or activity requirement. Signing out, ceasing to post, not using the Creator Studio, or unlinking a Google login does not, by itself, cancel this Agreement.

8.2. Creator may cancel at any time without penalty by using a Creator Studio cancellation control, if available, or emailing hello@pocketcook.app from the email address associated with Creator’s enrollment. Cancellation is effective when PocketCook receives the request, without a required notice period. PocketCook will confirm it and disable the creator code for future attributions.

8.3. Commissions are owed only on qualifying paid Apple transactions dated before the effective cancellation or termination of this Agreement. No new commissions accrue after that time, even from subscribers Creator originally referred who continue paying. Properly earned but unpaid commissions remain payable under Section 4.3. Rejoining later requires a new acceptance and does not restore commissions on previous subscriptions.

8.4. PocketCook may suspend participation and terminate this Agreement for material fraud, abusive or unlawful conduct, or another material breach, normally after notice and a reasonable opportunity to correct a curable breach. Immediate action may be taken where needed to prevent fraud, legal violations, or material harm. PocketCook may also cease paying commissions where the underlying subscription, App Store payment channel, or program can no longer lawfully operate; no commission can accrue without eligible Net Proceeds. PocketCook will still account for properly earned amounts not subject to a lawful offset.

9. Privacy and records

9.1. PocketCook may use Creator’s enrollment identity, code, PayPal details, tax documentation, and Apple transaction identifiers as reasonably necessary to operate the program, account for commissions, handle disputes, and satisfy legal obligations, as explained in its Privacy Policy. Referral reporting to Creator will be aggregated and will not identify individual subscribers.

9.2. PocketCook may retain the minimum verified attribution and financial records needed for as long as an uninterrupted Qualifying Subscription could generate commissions, and afterward for applicable accounting, tax, and dispute-resolution requirements, subject to law. Requests to delete Creator Studio data do not erase records that PocketCook must lawfully retain. A creator-data deletion request that would make continued participation impossible will be treated as a cancellation after notice to Creator.

10. General terms

10.1. This Agreement and the enrollment record form the entire agreement governing Creator’s PocketCook referral commissions. PocketCook’s general consumer Terms of Use do not modify the commission rate or the eligibility rules here. A change to the commission rate, eligible purchase categories, or treatment of existing attributed subscriptions requires Creator’s affirmative written or electronic acceptance and applies prospectively only; accrued commissions cannot be reduced retroactively.

10.2. Illinois law governs this Agreement, without applying conflict-of-law rules. Courts located in Illinois have jurisdiction over disputes arising from it, subject to non-waivable consumer or local law where applicable. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision once is not a waiver. Notices may be sent by email to the address maintained in the enrollment record or to hello@pocketcook.app.

10.3. Electronic acceptance, an electronic signature, or a signed copy may be used to enter this Agreement. PocketCook will retain the accepted agreement version, acceptance timestamp, and Creator account identifier and make a copy available to Creator.
